Terms of Service

1. Agreement to Terms

By accessing or using Ritual ("the Service"), operated by BRWTrades ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. We may update these Terms at any time by posting the revised version; your continued use after changes constitutes acceptance. Where required by applicable law, we will provide reasonable advance notice of material changes.

2. Description of Service

Ritual is a web-based trading journal and analytics platform available globally. The Service allows you to record, organise, and analyse your trading activity. Ritual does not execute trades, provide investment advice, manage funds, or act as a broker, financial adviser, or regulated financial services provider in any jurisdiction.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) and legally capable of entering into a binding agreement. By creating an account you represent and warrant that you meet these requirements and that your use of the Service does not violate any applicable law in your jurisdiction.

4. Account Registration & Security

Access requires a paid subscription purchased through our website. You must provide accurate information during registration and keep your credentials secure. You are responsible for all activity under your account. Multi-factor authentication (MFA) is mandatory; you must complete TOTP enrolment before accessing the platform.

If you suspect unauthorised access, notify us immediately at support@ritualjournaling.co.uk.

5. Subscription & Payment

The Service is provided on a paid subscription basis. Payment is processed by Stripe; we never store your full card details. All prices are displayed in the currency shown at checkout and include any applicable taxes unless stated otherwise. Subscription terms, pricing, and billing frequency are displayed before purchase.

Refunds. You may request a refund within 14 days of your initial purchase if you have not substantially used the Service (consistent with UK/EU cooling-off rights, and extended as a courtesy to all users globally). After 14 days, refunds are at our discretion. Australian users retain the benefit of consumer guarantees under the Australian Consumer Law regardless of this policy.

We may suspend access if payment fails. If your subscription lapses, you retain read-only access to export your data for 30 days, after which your account may be deactivated.

6. Your Data & Content

You retain full ownership of all data you input into Ritual (trades, notes, screenshots, configurations). We claim no intellectual property rights over your content. You grant us a limited licence solely to host, store, and display your content back to you as part of operating the Service.

You may export or delete your data at any time via the Service's settings. Upon account deletion we permanently remove your personal data within 30 days, except where retention is required by law. For details on data handling, see our Privacy Policy.

7. Acceptable Use

You agree not to:

  • Share, resell, or sublicense your account credentials
  • Attempt to gain unauthorised access to other users' accounts or our infrastructure
  • Use automated scripts to scrape or overload the Service
  • Upload malicious code, viruses, or content that violates any law
  • Use the Service for money laundering, market manipulation, or any illegal financial activity
  • Use the Service in any manner that violates applicable securities regulations in your jurisdiction

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted availability, error-free operation, or that the Service will meet your specific requirements.

Ritual is not financial advice. All analytics, metrics, statistics, and insights generated by the Service are for informational and educational purposes only. They do not constitute investment advice, trading recommendations, or solicitation to buy or sell any financial instrument. You are solely responsible for your own trading decisions and outcomes. Past performance data recorded in the Service does not guarantee future results.

Regulatory note: Ritual is a record-keeping tool, not a regulated financial product. It is not registered with the FCA (UK), SEC/CFTC (US), ASIC (Australia), or any other financial regulator. If you are unsure whether your trading activity requires regulatory compliance, seek independent legal advice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BRWTrades shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, or business interruption, arising from your use of or inability to use the Service.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms:

  • Excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation
  • Excludes or limits any liability that cannot be excluded under applicable law
  • Affects your statutory consumer rights under the laws of your jurisdiction (including but not limited to the UK Consumer Rights Act 2015, Australian Consumer Law, or applicable US state consumer protection statutes)

10. Indemnification

You agree to indemnify and hold harmless BRWTrades from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Service, or your violation of any applicable law. This clause does not apply to the extent prohibited by consumer protection law in your jurisdiction.

11. Intellectual Property

The Ritual name, logo, brand assets, source code, and platform design are owned by BRWTrades and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding without written permission.

12. Termination

You may cancel your subscription and delete your account at any time. We may terminate or suspend your access immediately if you breach these Terms, if required by law, or if we discontinue the Service (with 30 days' notice where practicable, to allow data export).

Upon termination, sections 6 (Your Data), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive.

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. However, this choice of law does not deprive you of the protection of mandatory consumer laws in your country of residence.

  • UK & EU users: Disputes shall be subject to the jurisdiction of the courts of England and Wales, without prejudice to your right to bring proceedings in the courts of your country of residence if required by local consumer law.
  • Australian users: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded by agreement.
  • US users: To the fullest extent permitted by law, disputes will be resolved through binding individual arbitration under the rules of the London Court of International Arbitration (LCIA), except where prohibited by your state's laws, in which case you retain the right to bring claims in your local courts. You and BRWTrades each waive the right to participate in a class action or class-wide arbitration. This waiver does not apply in jurisdictions where class action waivers are unenforceable.
  • Canadian users: These Terms are subject to the mandatory consumer protection provisions of your province of residence. You may bring proceedings in the courts of your province.

14. Severability

If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BRWTrades regarding the Service and supersede all prior agreements or communications.
